Please read these Terms and Conditions carefully before using thewordnest.com.au or engaging the services of The Word Nest. By accessing this website or enquiring about or using my services, you agree to be bound by these Terms. If you do not agree, please do not use this website.

These Terms are governed by the laws of Victoria, Australia, and comply with the Australian Consumer Law (ACL) as set out in the Competition and Consumer Act 2010 (Cth).

1. About The Word Nest

The Word Nest is the trading name of Lisa Cropman, ABN [94096579701], a senior copywriter and brand messaging strategist based in Melbourne, Victoria, Australia. References to ‘I’, ‘me’, ‘my’ and ‘The Word Nest’ throughout these Terms refer to this business.

These Terms apply to:

  • All visitors to thewordnest.com.au (the ‘Website’)
  • Anyone who contacts me, requests a quote, or engages me for copywriting or consulting services
  • Anyone who downloads content, subscribes to my newsletter, or accesses any free resources from this Website.

2. Services

The Word Nest provides copywriting, brand messaging, content strategy and related consulting services to businesses and individuals (collectively, ‘Services’). The specific scope, deliverables, timeline and fees for each engagement are agreed in writing prior to commencement via a proposal, quote or project brief.

I operate as an independent contractor. I am not an employee, partner or agent of any client. Engaging my Services does not create an employment relationship.

I reserve the right to decline any project at my discretion, including work that conflicts with my values or existing client commitments.

3. Quotes and Proposals

All quotes and proposals are provided in good faith based on the information available at the time. They remain valid for 30 days unless otherwise stated.

A quote does not constitute a binding agreement. Work commences only once both parties have confirmed the scope in writing and the required deposit has been received.

If the scope of a project changes after a quote has been accepted, I will advise you of any impact on fees or timeline before proceeding with additional work.

4. Fees and Payment

Deposit

A non-refundable deposit of 50% is required before work commences on any project. This deposit secures your place in my schedule and covers initial research and strategy time.

Final payment

The remaining balance is due on delivery of the final draft, or within 7 days of invoice, whichever comes first. Final files or approved copy will not be released until full payment has been received.

Ongoing or retainer work

For ongoing or retainer arrangements, payment terms will be agreed in writing at the outset. Monthly retainer fees are invoiced in advance.

Late payment

Invoices not paid within 14 days of the due date may attract a late payment fee of 10% per month on the outstanding balance. I reserve the right to suspend or withhold work on active projects where payment is overdue.

GST

All fees are quoted exclusive of GST where applicable. GST will be added to invoices as required under Australian tax law.

Payment methods

Accepted payment methods will be confirmed at the time of quoting. Bank transfer is standard. Credit card payments may be subject to a processing fee.

5. Revisions and Feedback

My standard project fee includes a set number of revision rounds as specified in your proposal or quote. Additional revisions beyond this scope may be charged at my current hourly rate.

To keep projects on track, I ask that:

  • Feedback is consolidated and provided by a single nominated contact
  • Revisions are requested in writing (email is fine)
  • Feedback rounds are completed within 14 days of draft delivery

If feedback is not received within 14 days, the project may be placed on hold and rescheduled subject to availability. Delays caused by late feedback do not affect the agreed payment schedule.

6. Client Responsibilities

To deliver the best possible work, I rely on timely, accurate information from you. You agree to:

  • Provide a clear and accurate brief, including brand guidelines, target audience information and any relevant background material
  • Respond to questions and feedback requests within a reasonable timeframe
  • Ensure that any information, images, trademarks or third-party materials you supply are accurate and that you have the legal right to use them
  • Nominate one primary point of contact for feedback and approvals

I am not responsible for errors, delays, or outcomes resulting from inaccurate or incomplete information provided by you.

7. Intellectual Property

Ownership of final work

Upon receipt of full payment, copyright in the final approved copy transfers to you for the agreed use. You may use the work for the purpose outlined in the project brief.

Ownership prior to payment

All work remains the intellectual property of The Word Nest until full payment is received. I reserve the right to withdraw access to drafts or deliverables in the event of non-payment.

Portfolio rights

I reserve the right to include completed work (or extracts of it) in my portfolio and marketing materials, unless you have requested confidentiality in writing. If you need your project to remain confidential, please advise me before work begins.

Third-party materials

You warrant that any materials you supply to me, including logos, images, data, and written content, do not infringe any third-party intellectual property rights. You indemnify me against any claims arising from third-party materials you have provided.

AI tools

I may use AI tools to support aspects of my work, including research, ideation and drafting efficiency. These tools are used to support my professional judgement, not replace it. All final copy is written, reviewed, edited and approved by me. I am responsible for the accuracy, originality and quality of all delivered work.

Client confidential information is never entered into public AI systems. If you prefer that AI tools are not used on your project, please advise me at the outset and I will work entirely without them.

Under the Copyright Amendment (AI Works and Machine Learning) Act 2024, works generated solely by AI are not copyright-protected. Because I apply significant human creative contribution to all deliverables, copyright in my work is retained and transferred in accordance with the terms above.

8. Confidentiality

I treat all client information as confidential. I will not disclose your business information, project details, or data to any third party without your consent, except where required by law.

I may use third-party tools and platforms to manage projects and communications (such as email platforms, cloud storage, or project management tools). I will not store sensitive client data in third-party systems without your knowledge, and will ensure any tools used have appropriate privacy protections in place.

You also agree to keep any unpublished strategies, methodologies, frameworks or pricing provided by me confidential.

9. Cancellation and Termination

Cancellation by client

If you cancel a confirmed project after work has commenced, the deposit is non-refundable. If work has progressed beyond the deposit value, you will be invoiced for work completed to the date of cancellation at my standard rate, and payment is due within 14 days.

Cancellation by The Word Nest

I reserve the right to withdraw from a project if:

  • The project scope changes materially and we cannot agree on revised terms
  • Payment obligations are not met
  • You become unresponsive for more than 30 days
  • The project requires me to produce content I consider unethical, misleading, or harmful

In such cases, I will refund any portion of the deposit that fairly reflects work not yet completed.

10. Consumer Guarantees (Australian Consumer Law)

My services come with guarantees under the Australian Consumer Law that cannot be excluded. These include that services will be:

  • Provided with due care and skill
  • Fit for the purpose agreed
  • Delivered within a reasonable time where no timeframe is specified

If I fail to meet these guarantees, you may be entitled to a remedy. For a minor failure, I will re-supply the affected work. For a major failure, you may be entitled to a refund of the affected portion of the fee. Nothing in these Terms limits or excludes any right you have under the ACL that cannot be lawfully excluded.

11. Refunds

Given the nature of bespoke copywriting and consulting services, I do not offer blanket refunds for change of mind once work has commenced. However:

  • If I fail to deliver as agreed and cannot remedy the issue, you may be entitled to a full or partial refund under the ACL
  • If a project is cancelled before work has commenced, a full refund of any deposit paid will be issued
  • Refund requests should be made in writing to lisa@thewordnest.com.au within 14 days of the issue arising

The ACCC prohibits blanket ‘no refunds’ policies. Where your consumer rights apply, they will always take precedence over these Terms.

12. Limitation of Liability

To the maximum extent permitted by law, my liability for any claim arising from these Terms or the provision of Services is limited to the total fees paid by you for the specific project giving rise to the claim.

I am not liable for any indirect, consequential, or incidental loss, including loss of profit, loss of business or reputational damage arising from the use of my services or content I have produced, except where such loss is caused by my negligence or wilful misconduct.

I am not liable for outcomes resulting from inaccurate information you have provided, changes you have made to delivered copy without my knowledge, or your failure to meet your own client responsibilities as outlined in these Terms.

These limitations do not affect any non-excludable guarantees or rights you hold under the ACL.

General use

This Website is provided for informational purposes. You may browse and use the content for your personal, non-commercial use. You may not reproduce, distribute or republish any content from this Website without my written permission.

Accuracy of information

I take care to ensure the information on this Website is accurate and current, but I do not warrant that it is complete, error-free or suitable for your particular purpose. Content on this Website is general in nature and does not constitute professional advice. You should seek appropriate professional advice before acting on anything you read here.

Third-party links

This Website may contain links to external sites. These links are provided for your convenience only and do not constitute endorsement of those sites. I am not responsible for the content, accuracy, or privacy practices of any third-party website.

Acceptable use

These Terms are governed by the laws of Victoria, Australia. Any dispute arising from these Terms or the provision of my services will be subject to the exclusive jurisdiction of the courts of Victoria.
